Windows Server 2012 guests locking up after warm reboot

Has anyone else come across an issue with Windows Server 2012 guests locking up after a warm reboot?  Ctrl-Alt-Ins from the console doesn't even work, and it requires the guest to be power cycled.  I'm running ESXi 5.0 Update 2 and Server 2012 RTM.  From my troubleshooting, it appears that it's NIC related, as it will warm boot fine if all NICs are removed from the guest.  The NIC type makes no different - it locks up with VMXNET3, E1000 and E1000e.

 

In the vmware.log file from the guest, I see the following when it hangs:

The DMA line repeats over and over again until the guest is powered off.
