ESXi is failing to obtain an IP from router. NIC is actually in good condition and ESXi displays the NIC as "connected".

Hello all. I have ESXi5 running on ASRock Z77 Extreme 4. The install of ESXi5.1 went with out a problem but ESXi fails to obtain an IP (DHCP or Static). When assigning DHCP IP it displays an ip of 0.0.0.0.
When I use a static IP it still does not work (yes IP/Subnet/Def Getw are correct).
In the Network Adapters setup the NIC shows as Connected and the device name is VMNIC0. In the VMKERNEL logs I see the following
*VMNIC0 Link is up at 100Mbs, full duplex
*Flow control is on for TX and RX
   *Connected Shadow of VMNIC0.
*Failed to unset the ip address (error = 49)
There are no firewalls in place.
I changed cables, I used different ports in the switch but the same problem.  I installed SUSE on the PC just to see if the NIC will work and it actually worked with no problems at all. The NIC on this motherboard is a Broadcom BCM57781.    Help ?
